MASB is governed by a 23-member Board of Directors made up of two directors from each of the eight regions and one director each from Groups V, VI and VII. Directors are elected by MASB member districts to serve up to three-year terms. Additionally, there are three At-Large Directors who are nominated by the MASB President and approved by the Board.

The Board establishes and implements policies and decisions that further the mission of MASB.

MASB's Board Leadership and Training Committee spearheaded a major effort to draft governance standards for boards of education and board members. These standards will ensure the utmost professionalism for the role of board members; and enhance the image of school boards as policymakers in school districts.
